Connect Referrals Terms & Conditions

Your business is strong and your network makes it even stronger. We believe in supporting your growth – not only through a payment processing system that fits your needs – but a Referral Program that centers on our dedication to our community of small business owners.

Connect Referrals empowers you to refer SwipeSimple Connect to your friends and earn rewards for your participation.

By participating in the Connect Referrals Program, you agree to be bound by these Connect Referrals Terms and Conditions (the "Terms"), our Privacy Policy at https://home.swipesimple.com/privacy-policy, and any other applicable program terms. These Terms govern the referral of prospective merchants to SwipeSimple Connect, and the payment of referral commissions to you.

CardFlight may modify these Terms or the Connect Referrals Program (including commission and discount amounts) at any time, in its sole discretion, without prior notice to you.  When we do, we will revise the “Effective Date” at the top of this page. Your continued participation in the Connect Referrals Program after such modifications are posted constitutes your acceptance of the modified Terms.

Please read these Terms carefully before applying to or participating in our Connect Referrals Program. If you do not agree to these Terms, you should not participate in the Connect Referrals Program.

Representations and Warranties

By registering for our Connect Referrals Program, you represent and warrant that:

• You are an individual (not a company) who is at least 18 years of age and a U.S. citizen or permanent resident.
• You have the right and authority to perform your obligations under these Terms, and doing so will not violate any agreement with any third party.
• You have not been previously disqualified by CardFlight from participating in the Connect Referrals Program.
• You will comply with all applicable laws and regulations in connection with the solicitation of merchants under the Connect Referrals Program.
• You will maintain a valid banking account or other payment method approved by CardFlight to receive commissions.

If any of the above conditions are not met, CardFlight is not obligated to pay commissions that may otherwise be earned.

Definitions

• "SwipeSimple Connect Customer" means an active customer subscribed to SwipeSimple Connect Services.
• "Connect Referrals Program" is defined as the program that enables Participants to earn commissions from SwipeSimple Connect for new customer referrals.
• "SwipeSimple Connect Services" means the payment processing services offered by SwipeSimple Connect.
• "Converted Customer" means an Eligible Prospect who (i) submitted an entry through the SwipeSimple Connect referral link and (ii) whose SwipeSimple Connect application was subsequently approved.
• "Eligible Prospect" is an individual who (i) is not or has not been a SwipeSimple Connect Customer, (ii) has not previously completed a call with a SwipeSimple Connect representative, and (iii) whose business is not within a prohibited nor restricted category and (iv) who lives in the United States.
• "Participant" is an individual who has registered and been accepted into the Connect Referrals Program.

‍Program Overview

By agreeing to these Terms, the Participant can promote SwipeSimple Connect Services to third parties and earn a commission from CardFlight for each Eligible Prospect who becomes a SwipeSimple Connect Customer (also known as a "Converted Customer").

It's important to note that any agreement with an Eligible Prospect is subject to acceptance by SwipeSimple Connect, which may be withheld or denied at its sole discretion. SwipeSimple Connect is not obliged to do business with any Eligible Prospect as a result of a Participant referral.

Subject to these Terms, CardFlight grants the Participant a limited, non-exclusive, non-transferable license to promote and market SwipeSimple Connect Services. The use of CardFlight’s trademarks is allowed solely for promotion under the Connect Referrals Program, but all rights are reserved by SwipeSimple Connect with no implied rights.

Participant Account Registration & Acceptance

Registration and acceptance into SwipeSimple's Connect Referrals Program is required for any individual who wishes to receive commissions for customer referrals. SwipeSimple will review each application to determine whether the individual is eligible to become a Participant. A notice of acceptance into our Connect Referrals Program will be sent by registered email.

If Participant is an existing SwipeSimple Connect Customer, Participant may be automatically enrolled in the Connect Referrals Program.

Any individual who refers a customer to SwipeSimple Connect without first being duly registered and accepted into the Connect Referrals Program shall not be eligible to receive any commissions from SwipeSimple Connect.

Participant shall be deemed an independent contractor under these Terms. Neither acceptance into the Connect Referrals Program nor any other provisions contained in these Terms intends to create nor shall constitute either SwipeSimple Connect or Participant as the employer, employee, agent, or representative of the other party, or as joint venturers or business partners, for any purpose.

Participant must maintain the same valid payment account as listed in its account registration. If a Participant's contact or other account information changes, Participant must notify SwipeSimple Connect promptly and keep such information current.

Eligibility & Payment of Commissions

To be eligible for a commission payment, the following conditions must be met:

1) An Eligible Prospect must use Participant's referral information via the Connect Referral Link to contact SwipeSimple Connect and subsequently receive application approval.

2) The Converted Customer must not cancel or terminate SwipeSimple Connect Services within 30 days of initial approval.

3) The Converted Customer must submit their application prior to October 31, 2025.

If any of these conditions are not met, SwipeSimple may decline or recoup payment of commissions.

All commissions will be paid via ACH or other approved payment method within 30 business days after being earned.

Program Rules & Restrictions

Advertising Requirements & Restrictions

Participant must comply with the following program rules. Failure to do so may result in suspension or termination from the Connect Referrals Program, and possible forfeiture of earned commissions, which will be determined in CardFlight’s sole discretion.

Use of Referral Materials: Referral links must be used solely for promoting the SwipeSimple Connect Services on authorized platforms, such as your website, emails, blogs, and social networks.

CAN-SPAM Compliance: You must comply with CAN-SPAM laws and avoid sending unsolicited emails or using other illegal advertising methods to promote the SwipeSimple Connection Services.

Advertising Claims: Make only factual statements about the SwipeSimple Connect Services, avoiding misleading or deceptive advertising claims, and follow all relevant advertising laws.

Third Party Platform Terms: Adhere to the terms and conditions of search engines, social media platforms, and other third-party platforms when promoting the SwipeSimple Connect Services.

Branding & Trademarks: CardFlight’s logos and other trademarks must not be altered. CardFlight may request removal of any content that it believes is inconsistent with its brand or image. All goodwill arising out of any use of CardFlight’s trademarks will inure solely to CardFlight.

Endorsements and Testimonials: Comply with Federal Trade Commission's Endorsement and Testimonial guidelines, and disclose any material connection to SwipeSimple Connect, making it clear that you will receive a commission for referred customers.

Other Prohibited Conduct

Engaging in the following conduct may result in immediate removal from the Connect Referrals Program and forfeiture of earned or paid commissions:

• Generating or attempting to generate referrals through unauthorized paid advertising methods, including but not limited to Pay-Per-Click (PPC) campaigns, search engine marketing (SEM), display ads, and similar paid channels without prior approval.
• Clickjacking, linkjacking, typosquatting or any sort of domain spoofing methods.
• Pixel or cookie stuffing without the visitor's knowledge and consent.
• Impersonating SwipeSimple Connect or creating misleading ads resembling official content.
• Making deceptive or unsubstantiated claims about CardFlight’s or its competitors' products or services.
• Making disparaging remarks, engaging in, or promoting offensive content.
• Engaging in any communication that is defamatory or infringes upon the intellectual property rights of others.

Termination from Program & Forfeiture of Commissions

SwipeSimple Connect reserves the right to suspend or terminate participation in the Connect Referrals Program for material breach of these Terms. Upon termination, all rights and licenses granted to Participant will end.

Any commissions owed to a terminated Participant will be honored if payment was successfully processed for a Converted Customer within 15 days of Participant's termination; except in the event the commission was earned in violation of these Terms, which would result in the forfeiture of such commission.

In the event SwipeSimple Connect has issued a commission payment for a referral that is subsequently deemed ineligible, whether due to violation of these Terms, SwipeSimple Connect's error, or by any misrepresentation to the Converted Customer, SwipeSimple reserves the right to seek return of such payment or deduct the amount from any balance owed to Participant.

Limitation of Liability‍

In no event will CardFlight be responsible or liable to Participant or any third party for any damages, losses, costs, or expenses of any kind, including direct, indirect, incidental, consequential or punitive damages, arising from the Connect Referrals Program.

Other Legal Terms

These Terms and the Connect Referrals Program will be governed by and construed under the laws of the State of New York, without regard to its conflict of laws provisions. Participant agrees that any dispute or claim relating in any way or arising from these Terms will be governed by the exclusive jurisdiction and venue of the state and federal courts of New York County, New York
